XPONENTIAL’S REWARDS AND LOYALTY PROGRAM TERMS AND CONDITIONS

KINDLY REVIEW THESE TERMS AND CONDITIONS (THE “TERMS”) CAREFULLY PRIOR TO ENGAGING WITH OUR REWARDS PROGRAMS, AS THEY ENCOMPASS CRITICAL DETAILS ABOUT YOUR LEGAL ENTITLEMENTS, DUTIES, AND THE REMEDIES ACCESSIBLE TO YOU THROUGH YOUR PARTICIPATION IN OUR REWARDS PROGRAMS. NOTABLY, THESE ENCOMPASS SEVERAL RESTRICTIONS AND EXCLUSIONS, OUTLINED HEREIN.


A. TERMS APPLICABLE TO ALL REWARD PROGRAMS

A.1 General


Xponential Fitness, LLC, also referred to as "Xponential," "we," "us," or "our," may offer programs through its brand franchisors, AKT Franchise, LLC, BFT Franchise Holdings, LLC, Club Pilates Franchise, LLC, CycleBar Franchising, LLC, PB Franchising, LLC, Row House Franchise, LLC, Rumble Franchise, LLC, Stretch Lab Franchise, LLC, Stride Franchise, LLC and Yoga Six Franchise, LLC (collectively, the “Brands” and each individually a “Brand”), enabling individuals participating in such programs ("Members," "you," or "your") to obtain advantages related to each Brand’s ClassPoints Loyalty Rewards Program (the "Reward Program") Upon joining the Reward Program, you consent to abide by these Terms and Conditions ("Reward Terms").

If you do not agree to the Brands Terms of Use, you should not join the Reward Program. 
NOTICE ABOUT DISPUTE RESOLUTION:  THESE TERMS CONTAIN A DISPUTES AND BINDING INDIVIDUAL ARBITRATION; CLASS ACTION WAIVER PROVISION (SEE SECTION 24 of your Brand’s Terms of Use) THAT REQUIRE YOU TO ARBITRATE ALL DISPUTES YOU HAVE WITH US ON AN INDIVIDUAL BASIS. YOU EXPRESSLY AGREE THAT DISPUTES BETWEEN YOU AND XPO WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS WIDE ARBITRATION.  SEE YOUR RESPECTIVE BRAND’S TERMS OF USE LINKED ABOVE. 

The Reward Program is governed by the relevant legal and regulatory requirements. WE OFFER NO GUARANTEES OR ASSURANCES WHATSOEVER REGARDING ANY REWARD PROGRAM, WHICH ARE ALL MADE AVAILABLE "AS IS" AND "AS AVAILABLE."

The handling of your data in relation to the Reward Program is directed by our Privacy Policy. We encourage you to consult it to understand the manner in which your information is managed as part of the Reward Program.


A.2 Membership, Suspension, Modification and Termination
A.2.1 General


We hold the authority to grant, refuse, or terminate your participation in the Reward Program at our sole discretion, at any given moment, with or without any specific reason. Our staff, along with their immediate family members (including spouses, parents, siblings, and children) and those living in the same household, are ineligible for participation in Reward Programs. Reward Programs are not valid where they are forbidden by law. Business entities or any other forms of organizations are also barred from participating in Reward Programs.

We also retain the authority to pause, alter, or end the participation rights of any individual who is found or suspected of engaging with the Reward Program in a way that is not in alignment with these Reward Terms or in violation of any local, national, or international laws, regulations, or ordinances. Such actions may also lead to the forfeiture of any points, rewards, or other benefits you may have accumulated through the Reward Program. Furthermore, we reserve the right to pursue suitable administrative and/or legal actions against individuals who misuse the Reward Program.


A.2.2 Accounts


To join the Reward Program, it is necessary for you to establish an online account with the relevant Brand ("Account") via some of our mobile applications (for example, iOS and Android) (collectively referred to as the "Apps") or each Brands website as set forth below, (the "Site"). There is no charge for setting up an Account. Participation in the Reward Program is limited to using a single Account. Accounts are individual and may not be sold, transferred, or allocated to, or used jointly with, friends, family, or any other individuals.

A.2.3 Age Requirements


You must be at least the age of majority in your state of residence, and fully able and competent to enter into and abide by the terms and conditions of these Terms, in order to access and use the Apps, Site, and Rewards Program. Individuals under the age of majority are not eligible to use the Site or the Rewards Program and may not submit any personal information to us. You acknowledge and agree that your ability to access and/or use the Rewards Program may require a minimum age that is higher than the applicable age of majority. By accessing or using the Site and/or the Rewards Program, or by clicking to accept these Terms when this option is made available to you, you represent and warrant that you are at least the age of majority in your state of residence, are legally entitled to enter into these Terms, are legally able to enter into any and all purchase agreements with us and our partners, vendors, agents and service providers, and have the right, authority and capacity to enter into and abide by the terms and conditions of these Terms.


A.2.4 Membership Responsibility


Xponential and the Brands disclaim any liability for the usage of a Member's Account or the redemption of a Member's points or rewards. It falls upon the Member to safeguard against unauthorized access or redemption of points by family, friends, or others who may gain access to the Member's Account. Each Member bears the responsibility for maintaining awareness of the Reward Terms and the status of points or rewards associated with their Account. Should a Member's Account be compromised, leading to unauthorized account activity or redemption of points, it is incumbent upon the Member to notify Xponential and/or the Brands promptly. Subsequent to such notification, the Account will be subject to an investigation to ascertain any applicable remedy. Members must ensure their contact and other pertinent information remains up-to-date and accurate. Xponential and the Brands are not accountable for any communication failures or issues arising from outdated or incorrect information provided by a Member.


Members are obligated to settle any taxes arising from their participation in the Reward Program. Rewards are strictly non-transferable and can only be claimed by the individual who accrued them. No cash reimbursements will be issued for any reward, except as mandated by law.


A.2.5 Contact Information


Participation in Reward Programs necessitates the provision of contact details by you, to enable aspects such as the delivery of earned items from the Reward Program. Typically, this information is sourced from your Account, and it is your duty to ensure its accuracy. Communications related to the Reward Program may encompass emails, push notifications, messaging within the App, and SMS text messages; however, explicit consent will be obtained before any text messages are dispatched. Modifications to your communication preferences can be made through our Apps or on our websites. It is important to note that eligibility for certain rewards and benefits within Reward Programs may be contingent upon your agreement to receive commercial communications from us.


A.2.6 Modification/Termination of Reward Programs or Reward Terms


Reward Programs are provided at the sole discretion of Xponential and the Brands and shall persist until such time as Xponential and/or any Brand decides to terminate or suspend any given Reward Program, a decision we may make at any point. Should a Reward Program be discontinued, you may forfeit all accrued benefits under that program, including those not yet redeemed. Furthermore, Xponential and the Brands reserve the exclusive right to alter any aspects of a Reward Program or these Reward Terms, at our discretion, at any given time. Your continued engagement in the Reward Program following the enactment of any changes signifies your acceptance of such modifications. Xponential commits to exerting reasonable efforts to notify you of any significant alterations to the Reward Programs or these Reward Terms before they take effect.


A.2.7 Benefit Discrepancies


Should you discern a discrepancy regarding the accrual of points or any other entitlements you believe are due to you ("Benefits") that are not reflected in your Account within two weeks of their expected accrual (termed a "Benefit Discrepancy"), it is imperative that you inform us promptly via by email at support@classpoints.com. We commit to deploying reasonable efforts to examine your claim of a Benefit Discrepancy, provided you bring it to our attention within ninety (90) days following the occurrence that should have led to the acquisition of the said Benefit. We may request further written details concerning the Benefit Discrepancy, and failure to provide such information within the stipulated 90-day window may lead us, at our discretion, to decide against proceeding with an investigation into the Benefit Discrepancy. Our determination to offer any form of resolution, or to offer none, for your Benefit Discrepancy will be based on a reasonable evaluation of the circumstances and absolves us of any further obligation should the same Benefit Discrepancy be presented again by you. Failure to notify us within the ninety (90)-day timeframe results in the forfeiture of your claim to the disputed Benefit. 


B. TERMS SPECIFIC TO THE CLASSPOINTS LOYALTY REWARD PROGRAM


Xponential provides a distinctive Reward Program aimed at acknowledging and incentivizing the clients of its Brands through the entire Xponential platform by granting points for specified purchases and activities, as detailed in Section B (referred to as the "ClassPoints Loyalty Rewards Program"). Availability of the ClassPoints Loyalty Rewards Program may vary, as it is not guaranteed in all countries or at every studio. We hold the exclusive authority to expand or diminish the list of countries or studios participating in the ClassPoints Loyalty Rewards Program at our discretion.B.1 Membership


B.1.1 Free Enrollment


Joining the ClassPoints Loyalty Rewards Program does not require any fees or purchases; however, enrollment does necessitate the creation of a free Account. As outlined further below, earning Points (as defined later) demands making qualifying purchases. The ClassPoints Loyalty Rewards Program is designed solely for individual use, and any commercial application is strictly forbidden. You can sign up for the ClassPoints Loyalty Rewards Program either through the Brand’s website (identified above) or via the Apps, provided you are signed into your  Account.


B1.2 Cancellation


You may cancel your membership in the ClassPoints Loyalty Rewards Program at any time by contacting us at support@classpoints.com or by going to help.classpoints.com. Upon cancellation, any unused Points you have earned will be forfeited and cannot be redeemed. If you rejoin the ClassPoints Loyalty Rewards Program at a later date, you will not be eligible for any first-time enrollment benefits, if any, and you will start with zero (0) points and at the lowest Tier.


B.2 Earning Points
B.2.1 General 


The ClassPoints Loyalty Rewards Program permits participants to accumulate points ("Points") through specific qualifying activities. Points shall be accrued by participating in designated activities outlined on each Brand’s website linked above. Points are specific to each Brand and cannot be combined with any other Brand’s Points. Transactions executed or actions undertaken in jurisdictions without program participation, or relating to Studios not participating, even if processed via our applications or websites, shall not qualify for Points accrual. Points are non-transferable and cannot be shared with others. Furthermore, Points hold no monetary value and are not redeemable for cash or as a credit. It is the responsibility of the participant to verify that any rewards or benefits accrued under the ClassPoints Loyalty Rewards Program are recorded accurately.


Points acquisition is exclusively limited to transactions within the United States. The determination of the quantity of Points and the membership tier associated with any Member's Account shall be at our sole discretion, based upon our internal records. We disclaim any liability for inaccuracies arising from erroneous information provided. Furthermore, all decisions rendered by us concerning the balance of Points or the membership status pertaining to an Account shall be deemed conclusive and shall bind the Member.


B.2.2 Earning Rates


Subject to any conditions and restrictions described in Section B.2.1 above, or elsewhere in these Reward Terms, you may earn Points by taking one (1) Brand studio class. Each class taken earns 100 ClassPoints. Additional Points offerings may be provided by each Brand at their discretion. 


B.2.3 Quarters


The ClassPoints Loyalty Rewards Program is based on annual quarters defined using UTC time as follows: 

  • January 1 – March 31 (“Quarter 1”)
  • April 1 – June 30 (“Quarter 2”)
  • July 1 – September 30 (“Quarter 3”)
  • October 1 – December 31 (“Quarter 4”) (and, each of Quarter 1, Quarter 2, Quarter 4, and Quarter 4, a “Quarter”).

Each Quarter begins at 12:00:01 a.m.  UTC time of the first date of the respective Quarter, and the preceding Quarter ends at 11:59:59 p.m. UTC on the last date.


B.2.4 Expirations of Points


Subject to the limits prescribed by applicable law, all Points credited to your Account shall expire upon the conclusion of the Quarter during which they were accrued. With the commencement of each Quarter, the Points balance in your Account shall be reset to zero (0).

Should your participation in the program or your Account be terminated or revoked for any reason, as determined at our sole discretion, all Points within your Account shall forthwith become null and void. Additionally, we reserve the right, at our sole discretion, to invalidate any Points we deem, for any reason, to have been acquired through fraudulent means, tampering, the exploitation of bugs, viruses, hacking, interventions, or through any technological failures or any other unauthorized or unforeseen breach of the ClassPoints Loyalty Rewards Program or its associated technologies.
No monetary compensation or credit will be provided for any Points that have expired.


B.3 Membership Levels 
B.3.1 Earning and Retaining Membership Levels


Excluding special promotions or incentives, participants may ascend to various membership levels (hereinafter referred to as a "Tier") by accumulating the requisite number of Points specified for each Tier for each Brand (the "Tier Threshold") which can be found at www.classpoints.com. Detailed information regarding Tiers is accessible as indicated herein. The assignment of Tier status is conducted on a Quarterly basis, necessitating the achievement of Tier Thresholds within a singular Quarter. In order to qualify for Silver or Gold Tier status participants must be have a subscription membership at a participating Brand studio. Upon attaining a Tier Threshold, participants will be promptly promoted to the corresponding Tier, maintaining such Tier status until the termination of the succeeding quarter. In accordance with Section B.2.4 previously outlined, notwithstanding, Points balances will revert to zero (0) at the commencement of each new Quarter, obligating participants to meet the qualifications for their current Tier anew to sustain their Tier status for the forthcoming Quarter. Inability to re-qualify for a previously attained Tier will result in a demotion to the immediately inferior Tier. Tier statuses are devoid of monetary value. ADD FOR SILVER AND GOLD STATUS MUST BE A SUBSCRIPTION MEMBERSHIP.

By way of example, should a participant enroll in the ClassPoints Loyalty Rewards Program in Quarter 1 and accrue sufficient Points to satisfy the Tier Threshold for the Silver Tier within Quarter 1, said participant would secure Silver Tier status forthwith upon achieving the necessary Threshold. Should the participant not accumulate enough Points to reach the Tier Threshold for a superior Tier, they would preserve their Silver Tier status for the duration of Quarter 1. Following the conclusion of Quarter 1, while Points are reset to zero (0), the participant would retain Silver Tier status throughout Quarter 2, pending the acquisition of a higher Tier during Quarter 2. Failure to amass adequate Points to meet the Silver Tier Threshold in Quarter 2 would result in the loss of Silver Tier status for Quarter 3, with the participant being relegated to an inferior Tier. Subsequent failures to meet the required Tier Threshold in later Quarters will lead to further demotions by one Tier until the lowest Tier is reached.


B.3.2 Tier Modifications


At our exclusive discretion, we maintain the authority to modify the membership Tiers, the advantages linked with each Tier, the requirements for each Tier Threshold, and any other aspect of the membership levels or Tiers at any moment. Such adjustments may entail significant increases, reductions, or other alterations to, or the elimination of, any element of the program. In the event that your Account or membership in the Rewards Program is either terminated or suspended, you will forfeit any Tier status previously attained along with all corresponding Benefits.


B.3.3 Tier Rewards
B.3.3.1 General


Your participation in the ClassPoints Loyalty Rewards Program may qualify you for specific Benefits by reaching designated Tiers, known as “Tier Rewards.” Xponential reserves the right to define the Tier Rewards linked to each Tier. These rewards are susceptible to changes, discontinuation, or restrictions at the sole discretion of Xponential and the Brands, and may occur with or without prior notification.


B.3.3.2 Redeeming Tier Rewards


Tier Rewards can be accessed via your loyalty dashboard, available through your Account on specified Applications or Websites. A significant portion of the Tier Rewards are applied automatically, necessitating no effort from you for redemption. Discounts associated with Tier Rewards, such as those on retail sales, will be automatically applied at the point of sale. Please note that discounts may be limited to the lowest priced item in your shopping cart.


B.3.3.3 Complimentary Birthday Class


To be eligible for your complimentary birthday class reward, it is imperative that you furnish us with your accurate date of birth at the time of Account creation. Additionally, you must have participated in a minimum of one class in the 12-month period preceding your upcoming XPONENTIAL anniversary, defined as the date on which you attended your first class.


B.3.3.4 Expiration of Tier Rewards


Unless explicitly stated otherwise, and to the extent allowed by applicable law, all Tier Rewards expire and become unusable by a Member when the Member’s Tier Status in the Tier granting such Tier Rewards end.
